Terms and conditions
Last updated October 11, 2026
These terms and conditions (the “Terms”) are a binding agreement between you and Dware Inc., a Delaware corporation doing business as ReplySetter (“ReplySetter”, “we”, “us”), and govern your use of replysetter.com, the ReplySetter app, its API and MCP server, and every related service (together, the “Service”).
By creating an account, starting a free trial, buying a subscription or otherwise using the Service, you confirm that you have read, understood and agree to these Terms, our Refund policy and our Privacy policy. If you do not agree, do not use the Service.
Section 15 contains a binding arbitration agreement and a class action and jury trial waiver. It affects how disputes are resolved. Please read it.
1. Who may use the Service
The Service is a business tool. You must be at least 18 and able to form a binding contract. If you accept these Terms for a company or other organisation, you confirm you have authority to bind it, and “you” means that organisation. You use the Service for business purposes, not as a consumer, and you agree that consumer protection laws that apply only to consumers do not apply to your purchase, to the extent the law allows.
2. Your account
- Give accurate information and keep it up to date, including your billing details.
- Keep your sign-in details secure. You are responsible for everything done through your account, by you, your team members or anyone using your credentials or API keys.
- Tell us at once at [email protected] if you believe your account has been accessed without permission.
- One person may not open several accounts to get more than one free trial or to get around plan limits. We may close, merge or charge for accounts opened this way.
3. Plans, free trials and billing
- Subscriptions renew automatically. Paid plans are billed in advance for each billing period (monthly unless your checkout says otherwise) and renew automatically at the then-current price until you cancel.
- Authorisation to charge. You authorise us and our payment processor, Stripe, to charge your payment method for each renewal, and for any upgrades, add-ons, seats, usage, taxes and fees, without asking you again each time.
- Free trials. When a plan includes a free trial, your payment method is charged automatically when the trial ends unless you cancel before it ends. A trial is one per person or business; we may refuse or end a trial at any time.
- Upgrades and downgrades. Upgrades take effect at once and may be charged straight away, prorated where your checkout says so. Downgrades take effect at the next renewal. Downgrading never creates a credit or refund for the current period.
- Price changes. We may change prices. A new price applies from your next renewal after we give you notice; if you don't want to pay it, cancel before that renewal.
- Taxes. Prices exclude taxes unless stated. You pay any sales, use, VAT or similar taxes on your purchase.
- Failed payments. If a charge fails we may retry it, and we may limit, suspend or downgrade your account until the balance is paid. You remain responsible for amounts owed.
- Third-party costs. AI model usage is billed to you directly by the model provider through your own API keys (OpenAI, Anthropic, OpenRouter and others), and messaging, CRM, calendar and other connected services bill you under their own terms. We are not responsible for, and do not refund, any charges from third parties, including charges caused by your agents' activity.
4. Cancellation
You can cancel at any time from Billing in the app. To avoid being charged for the next period, you must cancel before your renewal date (or before your free trial ends). Cancellation stops future renewals; your plan stays active until the end of the period you have already paid for, and no further charges are made after that. Cancellation is your responsibility: asking a team member, sending an email, deleting an agent, disconnecting an inbox, not using the Service or uninstalling an integration does not cancel your subscription.
5. No refunds
All payments are final and non-refundable. We do not give refunds or credits for any payment, including for renewals you did not cancel in time, partial periods, unused time, unused features or capacity, downgrades, trials that converted to paid plans, accounts suspended or closed for breaking these Terms, or dissatisfaction with the Service or with AI output. The full details are in our Refund policy, which forms part of these Terms.
6. Chargebacks and payment disputes
Before disputing a charge with your bank or card issuer, contact us at [email protected] so we can look into it. Filing a chargeback for a charge these Terms allow is a breach of these Terms. When a chargeback is filed we may suspend or close the account at once, and we will submit evidence of your agreement to these Terms, your subscription, your usage and your cancellation history to the card issuer. You agree to pay any amount found owing, plus chargeback fees and reasonable costs of collection.
7. Agencies and client accounts
If you use the Service to run accounts for your own clients, including rebilling or white-labelling, you are responsible for your clients' use of the Service and for their compliance with these Terms, for your own agreements, prices, refunds and support to them, and for any amounts they owe you. Your clients have no contract with us, and no refund, claim or dispute between you and a client creates any obligation for us.
8. Acceptable use and messaging compliance
You are solely responsible for the messages your agents send and for how you use the Service. You must not use it to:
- send spam or messages to people who haven't agreed to hear from you where consent is required;
- break any law, including the TCPA, CAN-SPAM, CASL, GDPR, UK GDPR, CCPA, ePrivacy and telemarketing, consumer protection, advertising and anti-discrimination laws, or the rules of carriers, platforms and inbox providers (such as Meta, Google, Microsoft and GoHighLevel);
- mislead people, impersonate anyone, or hide that messages are automated where the law requires you to disclose it;
- process sensitive data (health, financial account, government ID or children's data) without the legal basis and safeguards the law requires;
- upload malware, probe or overload our systems, scrape the Service, get around limits or security, or resell the Service except as a plan allows;
- infringe anyone's intellectual property, privacy or other rights.
You are responsible for getting every consent and giving every notice the law requires from the people your agents contact. We may suspend or end your access, without refund, if we believe you have broken this section.
9. AI output
The Service uses AI models to write replies, take actions and make decisions. AI output can be inaccurate, incomplete, inappropriate or different each time. You decide how much autonomy your agents have, and you are responsible for configuring, testing and supervising them and for every message sent and action taken (such as bookings, CRM updates, payment links and tags) by agents on your account. AI output is not legal, financial, medical or other professional advice. We are not liable for any loss caused by AI output or by actions your agents take.
10. Your content and data
You keep ownership of the content you and your contacts put into the Service. You give us a licence to host, copy, process and send it only as needed to provide, secure and support the Service. You confirm you have the rights and consents to give it to us. Our use of personal data is described in the Privacy policy. You are responsible for keeping your own backups; after your account is closed we may delete your content.
11. Third-party services
The Service connects to services we don't control (inbox providers, CRMs, calendars, payment processors, AI model providers and others). Your use of them is governed by their terms. We are not responsible for their availability, changes, data handling, charges or for any loss they cause, including when a provider changes or withdraws an API, suspends your account or blocks messages.
12. Our intellectual property
The Service, its software, design, templates and brand belong to Dware Inc. and its licensors. We give you a limited, non-exclusive, non-transferable, revocable right to use it during your subscription under these Terms. You must not copy, modify, reverse engineer or build a competing product from it. Feedback you give us may be used freely without any obligation to you.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT MESSAGES WILL BE DELIVERED, OR THAT IT WILL PRODUCE ANY PARTICULAR RESULT, SUCH AS LEADS, BOOKINGS, SALES OR REVENUE.
14. Limitation of liability and indemnity
TO THE FULLEST EXTENT THE LAW ALLOWS: (A) DWARE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, HOWEVER CAUSED, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) IN ANY CASE, OUR TOTAL LIABILITY FOR ALL DAMAGES AND CLAIMS OF ANY KIND RELATING TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR OTHERWISE, WILL NEVER EXCEED THE SUBSCRIPTION FEES YOU ACTUALLY PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. IF YOU PAID NOTHING (FOR EXAMPLE ON THE FREE PLAN OR A FREE TRIAL), OUR TOTAL LIABILITY IS ZERO. THIS LIMIT APPLIES TO ALL CLAIMS TOGETHER, NOT TO EACH CLAIM, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
You will defend, indemnify and hold harmless Dware Inc. and its officers, directors, employees and contractors from any claims, losses, fines, damages, costs and expenses (including reasonable legal fees) arising from your use of the Service, your content, the messages your agents send, your clients, your breach of these Terms or your breach of any law or third party's rights.
15. Disputes: arbitration and class action waiver
- Talk to us first. Before starting any claim, you agree to email [email protected] with a description of the dispute and to try in good faith to resolve it with us for at least 30 days.
- Binding arbitration. Any dispute that isn't resolved will be decided by final and binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, by a single arbitrator, held online or in Delaware, and not in court. Judgment on the award may be entered in any court with jurisdiction. Either party may bring an individual claim in small claims court, and either party may seek an injunction in court to protect its intellectual property.
- No class actions. Claims may be brought only individually, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. You and we each waive any right to a jury trial.
- Time limit. Any claim must be filed within one (1) year after it arises, or it is permanently barred.
- Governing law. These Terms are governed by the laws of the State of Delaware and the Federal Arbitration Act, without regard to conflict of laws rules. Subject to the arbitration agreement, the state and federal courts in Delaware have exclusive jurisdiction and you consent to them.
16. Suspension and termination
We may suspend or end your access at any time if you break these Terms, don't pay, create risk or legal exposure for us or others, or if we stop offering the Service. If we end the Service entirely for reasons other than your breach, we may, at our sole discretion, give a prorated credit or refund for the unused prepaid period. Otherwise, termination does not entitle you to any refund. Sections that by their nature should survive (including billing, no refunds, chargebacks, AI output, disclaimers, liability, indemnity and disputes) survive termination.
17. Changes to these Terms
We may update these Terms. We'll change the date above, and for material changes we'll notify account holders by email or in the app. Changes apply from your next renewal or 14 days after notice, whichever is sooner; continuing to use the Service after that means you accept them. Changes to Section 15 do not apply to disputes already notified to us.
18. General
- These Terms, the Refund policy, the Privacy policy and any order or checkout terms are the entire agreement between you and us about the Service.
- If any part is found unenforceable, it is enforced to the maximum extent possible and the rest remains in effect.
- Our not enforcing a right is not a waiver of it.
- You may not assign these Terms without our written consent; we may assign them in a merger, acquisition or sale of assets.
- We are not liable for delays or failures caused by events beyond our reasonable control, including outages of hosting, network, AI or other third-party providers.
- We may send notices by email to the address on your account or in the app. You send notices to [email protected].
- Electronic acceptance (such as signing up or checking out) is a valid signature, and our records of it are evidence of your agreement.
